Reseller Agreement

1. Agreement Overview

This Reseller Agreement ("Agreement") is entered into between Luna Bunny LTD ("Supplier") and the reseller ("Reseller") for the wholesale purchase and resale of streetwear products.

2. Wholesale Pricing & Payment Terms

• Wholesale pricing is set at 10% off retail prices
• Minimum order quantity: 0
• Payment terms: [Net 30/Payment on order/etc.]
• Accepted payment methods: [Bank transfer/Credit card/etc.]

3. Territory & Distribution Rights

• Authorised sales territory: WorldWide
• Exclusive/Non-exclusive distribution rights
• Online and/or physical retail permissions

4. Product Quality & Returns

• All products meet Luna Bunny LTD quality standards
• Defective product return policy: 30 days. Returns instructions included on shipping/invoice label
• Return shipping responsibility: [Supplier/Reseller]

5. Branding & Intellectual Property's

• Reseller may use Luna Bunny LTD branding for authorised product sales only
• No modification of logos, trademarks, or product designs without written consent
• All intellectual property remains with Luna Bunny LTD

6. Marketing & Promotion

• Marketing materials and guidelines provided by Supplier
• Reseller agrees to maintain brand standards in all promotional activities

Both parties agree to keep confidential all proprietary information including pricing structures, customer lists, and business strategies.

8. Term & Termination

• Agreement term: Ongoing with 30-day notice
• Either party may terminate with 30 days written notice
• Outstanding orders and payments due upon termination
